Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of the lead capture systems and related services (the "Services") provided by Mundone ("Mundone," "we," "us," or "our"). By purchasing, accessing, or using the Services, you ("Client," "you") agree to be bound by these Terms.

2. Description of Services

Mundone builds, configures, and operates AI-powered voice assistants designed to answer calls, qualify and capture leads, and perform related tasks on behalf of Client's business, as described in the applicable Service Plan (Starter, Growth, or Premium) selected at signup.

3. Fees and Payment

  1. Client agrees to pay the one-time setup fee and recurring monthly fee associated with their selected plan, as listed on Mundone's website at the time of purchase.
  2. Monthly fees are billed in advance and are non-refundable except as expressly stated in Section 6 (Service Guarantee) below.
  3. Mundone reserves the right to change pricing for future billing periods with at least 30 days' notice to Client.
  4. Failure to pay fees when due may result in suspension or termination of the Services.
  5. Each plan includes a monthly allowance of call minutes: 500 minutes for Starter, 1,500 minutes for Growth, and 3,000 minutes for Premium, unless otherwise agreed in writing in Client's quote. Call minutes consumed beyond the plan allowance are billed at $0.35 per minute on the following month's invoice. Unused minutes do not roll over between billing periods.
  6. Mundone will make reasonable efforts to notify Client when usage approaches or exceeds the plan allowance, and Client may upgrade plans at any time to increase the included allowance.

4. Term and Cancellation

  1. All plans are month-to-month. There is no long-term contract or minimum commitment period beyond the current billing cycle.
  2. Client may cancel at any time by providing written notice (email is sufficient). Cancellation takes effect at the end of the current paid billing cycle.
  3. The one-time setup fee is non-refundable upon cancellation, except as provided in Section 6.

If a Qualifying Failure (defined below) occurs within the first 30 days following activation, Mundone will, at Client's election and as Client's sole and exclusive remedy for such failure:

  1. Correct the issue at no additional charge; or
  2. Refund the one-time setup fee paid for the affected plan.

6.1 Qualifying Failure. A "Qualifying Failure" means any of the following, caused by a fault in the Services:

  1. The assistant fails to answer an inbound call placed during the coverage hours in Client's plan;
  2. The assistant obtains a caller's name, callback number, or stated request, but those details are not delivered to Client through the agreed channel; or
  3. The assistant states materially incorrect information about Client's business (such as pricing, hours, service area, or services offered) that contradicts information Client supplied accurately during configuration and did not later change without notifying Mundone.

6.2 Not a Qualifying Failure. For clarity, the guarantee does not apply to, and no remedy is owed for:

  1. A caller hanging up, declining to provide information, being unintelligible, speaking a language not configured for the assistant, or otherwise ending the call by their own choice;
  2. Information that Client never provided, provided inaccurately, or changed without notifying Mundone;
  3. Requests falling outside the scope configured for the assistant;
  4. Client's dissatisfaction with the assistant's tone, phrasing, voice, accent, or conversational style, where the information conveyed was accurate;
  5. Any outcome that depends on the caller's decision, including whether a caller books, buys, or proceeds; or
  6. Failures caused by Client's own equipment or configuration, call forwarding misconfigured by Client or Client's carrier, internet or phone carrier outages, or third-party service outages beyond Mundone's reasonable control.

6.3 Claim procedure. To claim under this guarantee, Client must notify Mundone in writing within seven (7) days of the call in question and identify the call by date and approximate time, so it can be verified against call records. Claims made after that window, or that cannot be matched to a specific call record, are not eligible. Mundone's determination of whether a Qualifying Failure occurred, made reasonably and in good faith against the call record, is final.

6.4 Scope of remedy. The remedies in this Section 6 are capped at the one-time setup fee actually paid by Client and do not include lost revenue, lost business opportunity, or any other damages, which remain governed by Section 10 (Limitation of Liability).

7. Intellectual Property

Mundone retains all right, title, and interest in the underlying technology, templates, and systems used to build and operate the Services. Client retains all rights to their own business information, trademarks, and content provided to Mundone. Upon termination, Mundone will deprovision the Client-specific assistant configuration and phone number.

8. Third-Party Services

The Services rely on third-party infrastructure providers, including but not limited to Vapi, Anthropic, and telecommunications carriers. Mundone is not responsible for outages, errors, or failures originating from these third-party providers, though Mundone will make commercially reasonable efforts to notify Client of any known service disruptions.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. Mundone does not warrant that the AI assistant will be error-free, uninterrupted, or that it will produce perfectly accurate responses in every interaction.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  1. Mundone's total aggregate liability arising out of or relating to these Terms or the Services shall not exceed the total fees paid by Client to Mundone in the three (3) months preceding the event giving rise to the claim.
  2. In no event shall Mundone be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, business opportunities, or goodwill, arising out of or related to the Services, even if advised of the possibility of such damages.
  3. Nothing in these Terms limits liability for gross negligence, willful misconduct, or any liability that cannot be limited or excluded under applicable law.

11. Indemnification

Client agrees to indemnify, defend, and hold harmless Mundone, its owners, and representatives from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) Client's breach of these Terms; (b) inaccurate or misleading information provided by Client for use in the AI assistant's configuration; or (c) Client's misuse of the Services.

12. Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, power or internet outages, third-party service provider failures, or government action.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If unresolved, disputes shall be submitted to the courts of Ontario, which shall have exclusive jurisdiction.

14. Changes to These Terms

Mundone may update these Terms from time to time. Material changes will be communicated to Client with reasonable notice. Continued use of the Services after such changes constitutes acceptance of the updated Terms.

15. Entire Agreement

These Terms, together with any order form or service agreement signed by Client, constitute the entire agreement between the parties regarding the Services and supersede any prior agreements or understandings, whether written or oral.
